Terms and Conditions

PLEASE READ THIS TERMS OF USE AGREEMENT (THIS “AGREEMENT”) CAREFULLY. THIS AGREEMENT, INCLUDING ANY SUPPLEMENTAL TERMS (AS DEFINED BELOW) INCORPORATED HEREIN, IS A LEGAL CONTRACT BETWEEN YOU AND VYTAL WORLD, LLC, A NEW YORK LIMITED LIABILITY COMPANY (“VYTAL,” “WE,” OR “US”).
SECTION 20 OF THIS AGREEMENT IS AN ARBITRATION CLAUSE THAT REQUIRES MOST DISPUTES BETWEEN US TO BE RESOLVED ON AN INDIVIDUAL, NON-CLASS ACTION BASIS THROUGH BINDING AND FINAL ARBITRATION INSTEAD OF IN COURT. SEE SECTION 20 FOR MORE INFORMATION REGARDING THIS ARBITRATION CLAUSE, AND HOW TO OPT OUT.
By accessing or using vytalvoices.com or any other website, application, or service with an authorized link to this Agreement (collectively, the “Platform”), or by clicking to signify your acceptance, you:
1. Agree to be bound by this Agreement and any future amendments and additions.
2. Represent that you are of legal age in your jurisdiction to form a binding contract (and in any event no younger than sixteen (16) years old).
3. Represent that you have the authority to enter into this Agreement personally or on behalf of any legal entity.
If you do not agree to be bound by this Agreement, you may not access or use the Platform.
1. Supplemental Terms
Your use of the Platform may also be subject to additional terms, conditions, and policies (“Supplemental Terms”), such as our Privacy Policy and any Master Services Agreement (“MSA”) entered into with brands or clients. If there is a conflict between this Agreement and any Supplemental Terms, the Supplemental Terms will control for the applicable service.
2. Modifications
Vytal reserves the right to modify this Agreement or Supplemental Terms at any time, effective upon posting. You should review this Agreement regularly, as continued use of the Platform constitutes acceptance of any changes.
3. Services Description
Vytal Voices is an AI-powered insights and research platform that enables collection of survey responses, video insights, and behavioral data from panel participants. Vytal analyzes this content to generate aggregated insights for brands and clients.
- Brands must enter into a separate MSA with Vytal to access research deliverables.
- Brands receive aggregated insights and analysis only, not raw user-identifiable data.
4. License and Use of Services
Subject to this Agreement, Vytal grants you a limited, non-transferable, revocable license to access and use the Platform for personal or internal business purposes.
You may not:
- Resell, sublicense, or exploit the Platform commercially.
- Copy, reverse engineer, or create derivative works.
- Scrape, crawl, or extract data without permission.
- Use the Platform for any unlawful, fraudulent, or competitive purposes.
5. Registration and Eligibility
- You must provide accurate, current, and complete registration information.
- The Platform is available only to individuals 16 years or older. If you are under 18, parental consent is required.
- You are responsible for maintaining the confidentiality of your account and all activities under it.
6. Responsibility for Content
- You are solely responsible for all content you provide, including survey responses, videos, and other submissions (“Your Content”).
- Vytal is not responsible for user content and is under no obligation to pre-screen, though we may remove content at our discretion.
- Storage of content is not guaranteed.
7. Ownership and Intellectual Property
- Vytal owns all rights in the Platform, analysis, and research outputs.
- You retain ownership of Your Content, but you grant Vytal a perpetual, worldwide, royalty-free license to:
- Operate and provide the Platform.
- Train AI models.
- Generate aggregated insights for brands and clients.
- Brands’ rights to insights are governed by their MSA with Vytal.
8. Confidentiality
If you participate in research, you may receive confidential information about brands (concepts, strategies, products, etc.). You agree to keep such information strictly confidential and use it only as intended within the Platform.
9. Feedback
Any suggestions, feedback, or ideas you submit may be used by Vytal without obligation, compensation, or restriction.
10. User Conduct
You agree not to:
- Infringe intellectual property rights.
- Post unlawful, defamatory, or harmful content.
- Impersonate others.
- Interfere with the security or functionality of the Platform.
- Engage in spamming, scraping, or hacking.
11. Investigations & Enforcement
Vytal may monitor, investigate, and remove content or suspend accounts if violations occur.
12. Third-Party Services
The Platform may include links to third-party websites or services. Vytal is not responsible for those third parties.
13. Indemnification
You agree to indemnify and hold harmless Vytal and its affiliates, officers, and employees from claims, damages, and expenses arising out of:
- Your Content,
- Your use of the Platform, or
- Your violation of these Terms or applicable law.
14. Disclaimer of Warranties
The Platform is provided “as is” and “as available.” Vytal disclaims all warranties, including merchantability, fitness for a purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law:
- Vytal shall not be liable for indirect, incidental, or consequential damages.
- Liability is capped at the greater of: (a) the amount you paid Vytal in the one-month period before the claim arose, or (b) statutory damages.
16. Copyright Infringement (DMCA)
Vytal respects copyright law. If you believe your work has been copied in violation of copyright, notify our Copyright Agent:

17. Termination
Vytal may suspend or terminate your access to the Platform at any time for any reason. Certain obligations survive termination, including ownership, confidentiality, and indemnification.
18. International Use
The Platform is intended for users in the United States only. Users outside the U.S. are responsible for compliance with their local laws.
19. Dispute Resolution & Arbitration
- Any dispute will be resolved by binding arbitration in New York under JAMS or AAA rules.
- Class actions and jury trials are waived.
- You may opt out of arbitration within 30 days of first becoming subject to this Agreement by emailing hello@vytalvoices.com.
20. General Provisions
- Electronic Communications: You consent to receive notices electronically.
- Release: You release Vytal from claims except in cases of fraud or willful misconduct.
- Assignment: You may not assign your rights without Vytal’s consent.
- Force Majeure: Vytal is not liable for delays beyond its reasonable control.
- Governing Law: This Agreement is governed by New York law.

- Severability: Invalid provisions will not affect the remainder.
- Entire Agreement: This Agreement and Supplemental Terms constitute the full agreement.
